1) Scope

1.1 These Terms and Conditions apply to all contracts concluded between VELAROA LTD and customers via our online shop.

1.2 A “consumer” within the meaning of these T&Cs is any natural person who enters into a legal transaction for purposes that are predominantly not attributable to their commercial or independent professional activity.

1.3 An “entrepreneur” within the meaning of these T&Cs is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.


2) Conclusion of Contract

2.1 The product descriptions in the online shop do not constitute binding offers, but are intended as an invitation to submit an order.

2.2 Customers can submit an offer via the integrated online order form. After entering personal information and clicking the final order button, the customer submits a legally binding offer to purchase the items in the cart.

2.3 The seller may accept the customer’s offer within five days:
– by sending a confirmation email,
– by delivering the goods, or
– by requesting payment.
The contract is concluded upon the first of these events. If the offer is not accepted within this period, it is deemed rejected.


3) Prices and Payment Terms

3.1 All prices listed in the shop include applicable VAT, if applicable. Shipping costs may apply.

3.2 The available payment methods are shown during checkout. Payment is processed via integrated payment service providers.


4) Delivery and Shipping Conditions

4.1 Delivery is made to the address specified by the customer within the regions listed in the shop.

4.2 Estimated delivery times are stated on each product page. In case of delays, the customer will be notified immediately.

4.3 If a product is unavailable after an order is placed, the seller reserves the right to withdraw from the contract. The customer will be informed immediately and any payments refunded.


5) Retention of Title

Goods remain the property of the seller until full payment has been received.


6) Right of Withdrawal

Consumers have a statutory right to withdraw from the contract. Details can be found in the seller’s withdrawal policy.


7) Warranty

7.1 Statutory warranty rights apply.

7.2 For entrepreneurs, the warranty period for new goods is one year from delivery. This does not affect statutory limitation periods.

7.3 For used goods, the warranty period for consumers is limited to one year.

7.4 These limitations do not apply to claims arising from injury to life, body, or health, or for damages caused by intent or gross negligence.


8) Liability

The seller is liable without limitation for damages resulting from injury to life, body, or health, as well as for intentional or grossly negligent breaches and in accordance with the Product Liability Act. For other damages, liability is limited to typical, foreseeable damages.


9) Promotional Vouchers

9.1 Vouchers issued free of charge during promotions are valid only within the specified period and can only be redeemed in the online shop.

9.2 Promotional vouchers are non-transferable and cannot be combined with other offers. Cash payment is not possible.

9.3 The order value must be at least equal to the voucher amount. Remaining credit will not be refunded.


10) Gift Vouchers

10.1 Gift vouchers can be redeemed for products sold in the online shop, but not for purchasing other gift vouchers.

10.2 Any remaining balance will be credited for future use.


11) Governing Law

These terms are governed by the laws of the United Kingdom, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only to the extent that it does not deprive them of mandatory protections granted by the laws of their country of residence.


12) Dispute Resolution

12.1 The EU Commission provides a platform for online dispute resolution: https://ec.europa.eu/consumers/odr

12.2 The seller is not obliged or willing to participate in dispute resolution proceedings before a consumer arbitration board.
